- Your violation of any third-party right, including intellectual property or privacy rights.
13. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of TX, without regard to its conflict of law provisions.
15. Dispute Resolution, Binding Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH NORTHPOINT ATHLETIC AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.
15.1 Informal Resolution
Before initiating any formal dispute, you agree to first contact us at support@northpointathletic.com with a written description of your claim and the specific relief you seek. We will attempt in good faith to resolve the dispute informally within 30 days of receiving your notice. The informal resolution period is a prerequisite to commencing arbitration.
15.2 Agreement to Arbitrate
If informal resolution does not succeed, you and Northpoint Athletic agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Services, any purchase you make from us, or any communications between us — including disputes regarding the validity, scope, or enforceability of this arbitration agreement — will be resolved exclusively through final and binding individual arbitration, rather than in court, except as set forth in Section 15.6 below.
15.3 Arbitration Administrator and Rules
The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect at the time the arbitration is initiated, as modified by these Terms. The AAA's rules are available at www.adr.org or by calling 1-800-778-7879. The arbitration will be conducted by a single neutral arbitrator.
15.4 Arbitration Location and Procedure
The arbitration will take place in Travis County, Texas, or, at your election, in the U.S. county where you reside. For claims of $25,000 or less, the arbitration may be conducted by telephone, by video conference, or based solely on written submissions, at your election. For larger claims, the AAA rules will govern whether the arbitration is held in person, by phone, by video, or in writing.
15.5 Arbitration Fees
Northpoint Athletic will pay all AAA filing, administration, and arbitrator fees for any arbitration initiated in accordance with this Section, except that if the arbitrator finds your claim to be frivolous or brought for an improper purpose, fees will be allocated as provided under the AAA Consumer Arbitration Rules. Each party will bear its own attorneys' fees and costs unless the arbitrator awards otherwise under applicable law.
15.6 Exceptions to Arbitration
Notwithstanding the foregoing, either party may: (a) bring an individual claim in small claims court for disputes within that court's jurisdiction; (b) seek injunctive or other equitable relief in court to protect intellectual property rights, trade secrets, or confidential information; and (c) participate in the public enforcement of consumer protection laws to the extent such participation cannot be waived under applicable law.
15.7 Class Action Waiver
YOU AND NORTHPOINT ATHLETIC AGREE THAT ANY DISPUTE WILL BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative or class proceeding. If a court or arbitrator decides that this class action waiver is unenforceable as to any particular claim, that claim (and only that claim) will be severed from arbitration and brought in court, while all remaining claims will continue to be resolved in arbitration.
15.8 30-Day Right to Opt Out
You have the right to opt out of this arbitration agreement. To opt out, you must send written notice to support@northpointathletic.com with the subject line "Arbitration Opt-Out" within 30 days of first agreeing to these Terms (typically, within 30 days of your first purchase or account creation). Your notice must include your full name, mailing address, email address, and a clear statement that you wish to opt out of the arbitration agreement. Opting out will not affect any other provision of these Terms. If you opt out, neither you nor Northpoint Athletic will be bound to arbitrate disputes, and instead any disputes will be resolved in court subject to Section 14 (Governing Law).
15.9 Governing Law for Arbitration
The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration agreement. The substantive law of the State of Texas, without regard to its conflict of law provisions, governs the underlying dispute.
15.10 Survival
This Section 15 will survive the termination of your relationship with Northpoint Athletic, including the cancellation of your account or any cessation of your use of the Services.
16. Changes to Terms
We reserve the right to modify or replace these Terms at any time. Changes will be effective immediately upon posting to the Website. It is your responsibility to review these Terms periodically.
17. Miscellaneous
17.1 Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in effect.
17.2 Entire Agreement
These Terms constitute the entire agreement between us regarding our Services and supersede any prior agreements.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
